Convano Ends Yutai as Bitcoin Funds JPY4.5B Buyback

Convano is turning its Bitcoin exit into a large but unusually structured capital return. The Tokyo Growth-listed company approved a maximum JPY 4.5 billion share repurchase on August 24, covering as many as 45 million shares, or 8.85% of shares outstanding excluding treasury shares.

The package is bigger than a buyback headline. Most of the authorization is an off-market purchase from one large shareholder. Convano also plans to retire the acquired shares, end its Bitcoin-and-nail-service shareholder benefits, redeem a JPY 2.5 billion bond early and seek approval for a 10-for-1 share consolidation. If the maximum repurchase completes, the controller's voting interest is estimated to cross the two-thirds threshold used for special resolutions.

The score means dividend growth is plausible but materially uncertain. Convano has given investors a strong buyback signal and a confirmed yutai transition, yet it has no formula-based dividend policy and its recent free cash flow has been volatile.

Key Takeaways

The capital-allocation story sits above a customer-facing nail-salon business and a now-ending benefit program.
  • Convano authorized up to JPY 4.5 billion and 45 million shares, equal to 8.85% of shares outstanding excluding treasury shares.
  • About 82.9% of the maximum yen amount is a proposed off-market purchase from Dimensional; only 17.1% is reserved for market purchases.
  • The buyback and JPY 2.5 billion bond redemption together allocate 86.4% of the JPY 8.099 billion recovered from selling Bitcoin.
  • Acquired treasury shares are intended to be retired, and the company estimates a maximum mechanical EPS lift of about 9.7% if earnings are held constant.
  • The final shareholder-benefit record date is September 30, 2026. The JPY 23 million annual saving is too small to explain the buyback.
  • At maximum completion, controller NT's estimated voting share rises to 67.53%, above the two-thirds special-resolution threshold.

This is a capital-allocation and governance analysis, not a prediction of the share price. ATG Press's shareholder-return policy guide explains how dividends and repurchases differ in permanence, flexibility and investor effect.

How the Convano Buyback Uses the Bitcoin Proceeds

Plain metal discs move through an industrial counting machine as gloved hands guide them.
Most of the authorization removes one negotiated block; a smaller portion is available for market purchases.

Convano completed its Bitcoin sale on August 10 and recovered JPY 8.099 billion. The August 24 repurchase filing says the entire buyback will be funded from those proceeds rather than cash already on hand.

The authorization has two very different components. Convano proposes to buy up to 37,289,600 shares from Dimensional for a maximum JPY 3.729 billion. The stated maximum is JPY 100 per share, subject to a lower price if required by the market-price mechanism described in the filing. The shareholder vote is scheduled for September 30, and this off-market window would run from October 1 through October 30.

The market program is much smaller: up to 7,710,400 shares and JPY 771.04 million from October 1, 2026 through March 31, 2027.

The distinction matters. A negotiated block purchase can prevent a large holding from reaching the market, while an open-market program can add a direct bid. Both can reduce the share count after retirement, but their trading effects are not interchangeable.

Convano says acquired shares will be retired after the program, except for shares needed to handle statutory odd-lot sale requests. The company estimates that the maximum share-count reduction would raise EPS by about 9.7% on a simple calculation. That is a mechanical result with earnings held constant, not a profit forecast.

The Share Consolidation Creates an Odd-Lot Problem

A worker arranges full trays and loose unbranded nail-polish bottles on stockroom shelves.
The proposed consolidation leaves thousands of small holders below a standard exchange-trading unit.

The board also proposed a 10-for-1 share consolidation effective November 1, subject to the September 30 extraordinary shareholder meeting. A proportional consolidation does not by itself change an investor's economic ownership. It does change whether a small position remains a tradable 100-share unit or carries voting rights.

Convano's consolidation filing estimates the effect using the March 31 shareholder register:

100 to 999 shares before consolidation8,876Becomes an odd lot, losing exchange trading and voting rights for that holding
Total holders expected to own odd lots9,37358.57% of the March register

Odd-lot holders can use statutory purchase procedures, and eligible holders can request additional shares to reach a full unit. Those procedures still create friction. International investors should check broker support, fees and deadlines rather than assuming every small position will remain exchange-tradable. ATG Press's Japan investment-unit guide explains why a 100-share unit can turn a nominal share price into a much larger minimum investment.

The Buyback Also Raises the Controller Above Two-Thirds

The maximum repurchase would reduce the denominator while leaving controller NT's holding unchanged. Convano estimates NT's voting share would rise from 61.56% to 67.53%. That exceeds 66.67%, the two-thirds threshold for special resolutions under Japan's Companies Act.

The company's filing states the practical effect directly: if NT attends and votes in favor, it would be able to satisfy the relevant quorum and pass a special resolution regardless of how other shareholders vote. Special resolutions can cover consequential matters such as mergers, certain share issuances and amendments to the articles.

This does not mean every future proposal is adverse. It means minority voting influence becomes structurally weaker. The tradeoff is central to the buyback: retiring shares can improve per-share metrics and remove an overhang, while the same denominator reduction concentrates control.

Investors should inspect the September meeting materials and voting instructions. ATG Press's shareholder-meeting guide covers English proxy checks and the mechanics of voting Japanese shares.

Yutai Ends, but the Savings Do Not Fund the Buyback

Convano's shareholder-benefit program provided Bitcoin and FASTNAIL service vouchers with annual nominal value ranging from JPY 15,000 to JPY 75,000 depending on the holding. The September 30, 2026 record date will be the last. No benefit will be offered from the March 31, 2027 record date onward.

The abolition notice estimates annual cost savings of about JPY 23 million from FY2027 onward and says future shareholder returns will center on dividends and share repurchases.

That language is a confirmed transition signal, but the arithmetic limits the conclusion. JPY 23 million is only about 0.5% of the JPY 4.5 billion buyback maximum. The benefit saving does not fund the transaction; the Bitcoin sale does. Ending yutai therefore does not guarantee a dividend increase.

The timing also matters. Investors eligible on September 30 still receive the final benefit under the pre-consolidation share count. Readers unfamiliar with Japanese record-date mechanics can use ATG Press's ex-dividend and yutai guide, but should confirm eligibility with their broker.

Dividend Hike Potential Score: 3/5

The `The End of Yutai` framework scores five factors from zero to two. Convano receives 6/10, which maps to 3/5: plausible, with material uncertainty.

The latest Q1 FY2027 results show a stronger earnings base: revenue JPY 6.907 billion, operating profit JPY 1.937 billion and net income JPY 1.196 billion. The full-year forecast calls for JPY 5.820 billion of net income, JPY 11.67 EPS and a JPY 1 annual dividend.

Cash conversion is the restraint. Q1 operating cash flow was negative JPY 1.167 billion, mainly because of a JPY 2.771 billion income-tax payment. The maximum buyback also equals about 37.1% of Q1 equity, so the capital-allocation decision is substantial even after the Bitcoin proceeds arrive.

Three Years of Dividends and Free Cash Flow

Free cash flow below is defined as operating cash flow plus investing cash flow. It is an ATG Press calculation, not a company-defined performance measure. FY2026 uses the later annual securities report, which supersedes earlier preliminary cash-flow figures.

2026JPY 1JPY 3.947 billion-JPY 11.472 billion-JPY 7.524 billion

FY2026's JPY 1 dividend was paid from capital surplus, while the year included large crypto-related investing flows. That history is too irregular to support a simple dividend-growth extrapolation. The 3/5 score reflects an explicit capital-return decision, not a clean record of recurring free-cash-flow coverage.

A Crypto-Linked Yutai Comparator

SBI Global Asset Management is useful as a program-structure comparator because it also offered crypto-linked shareholder benefits. It is not an operating peer: SBI Global is an asset manager, while Convano operates nail salons plus consulting and healthcare businesses.

SBI Global Asset Management 4765JPY 22.7580.4%JPY 6253.64%Active for FY2026, including XRP and investment-fund benefits

Dividend and payout data come from company filings; closing prices are from August 21 market histories. Yields are ATG Press calculations and are not forecasts. SBI Global's English benefit notice confirms the XRP program, while its FY2026 results report the dividend and payout ratio.

The comparison shows why `yutai ended` is not enough to infer a higher dividend. A mature payout framework can coexist with benefits, while an abolished benefit can coexist with a token dividend. The policy formula and recurring cash generation matter more than the label.

Bull, Base and Risk Cases

The base case should not be confused with a valuation call. It simply separates what has been approved from what still depends on execution, cash flow and future board decisions.

What Investors Should Watch Next

  • September 8: planned start of electronic shareholder-meeting materials.
  • September 30: extraordinary shareholder meeting and final yutai record date.
  • October 1 to October 30: proposed off-market purchase window.
  • November 1: planned effective date of the 10-for-1 consolidation.
  • March 31, 2027: end of the market-repurchase authorization.
  • Next earnings releases: operating cash flow, actual retirement timing, remaining Bitcoin-sale proceeds and any new dividend formula.

The September vote is the first decisive checkpoint. Investors should treat the buyback, consolidation and control threshold as one connected package rather than three isolated announcements.
